How does these interact?

OTS only affects *models* in base contact, but let's say a Vampire with OTS is in a unit of skeletons with HW/S, who all get parry saves...

Both of must direct attack between models in contact with the wearer and models who are not, and roll separately. Generally this means that everyone who can strike at guys in contact with the wearer dose so. Due to step up there is nothing else to it.
